GENERAL TERMS AND CONDITIONS OF SALE AND DELIVERY<\/p>\n
\u4e00\u822c\u9500\u552e\u548c\u4ea4\u4ed8\u6761\u6b3e\u548c\u6761\u4ef6<\/p>\n
<\/p>\n
1.1 Unless otherwise agreed in writing, all sales offers from ViscoTec Shanghai Limited (\u201cViscoTec\u201d) are valid for a period of 30 days commencing from the date of issuance of the quotations.<\/p>\n
\u9664\u975e\u53e6\u5916\u8fbe\u6210\u4e66\u9762\u534f\u8bae\uff0c\u6240\u6709\u7ef4\u4e16\u79d1\uff08\u4e0a\u6d77\uff09\u8d38\u6613\u6709\u9650\u516c\u53f8\uff08\u201c\u7ef4\u4e16\u79d1\u201d\uff09\u53d1\u51fa\u7684\u9500\u552e\u8981\u7ea6\uff0c\u4ece\u62a5\u4ef7\u5355\u53d1\u884c\u4e4b\u65e5\u8d77\uff0c\u6709\u6548\u671f\u4e3a30\u5929\u3002<\/p>\n
1.2 Prices in the sales offers are only for the quoted quantities. Any subsequent changes in any material, quantity of pump, manufacturing technique or specification of pump to be delivered by ViscoTec will result in a renewal of quotation.<\/p>\n
\u9500\u552e\u8981\u7ea6\u5185\u7684\u4ef7\u683c\u4ec5\u5bf9\u5e94\u62a5\u4ef7\u5355\u76f8\u5e94\u7684\u6570\u91cf\u624d\u6709\u6548\uff0c\u4efb\u4f55\u91c7\u7528\u7ef4\u4e16\u79d1\u6cf5\u6240\u8f93\u9001\u7684\u7269\u6599\u3001\u6cf5\u6570\u91cf\u3001\u751f\u4ea7\u5de5\u827a\u6216\u8005\u6cf5\u7684\u89c4\u683c\u8981\u6c42\u7684\u6539\u53d8\u90fd\u9700\u8981\u91cd\u65b0\u62a5\u4ef7\u3002<\/p>\n
1.3 Drawings and samples enclosed with any quotation shall remain the property of ViscoTec. The customer shall treat all drawings and samples confidential, and shall not infringe on the intellectual property rights contained in any item and material such as goods, sample, drawing, instruction etc. of ViscoTec. If a customer is aware of or find any infringement or possible infringement of ViscoTec\u2019s any intellectual property right, the customer shall immediately inform ViscoTec.<\/p>\n
\u62a5\u4ef7\u5355\u6240\u9644\u7684\u56fe\u7eb8\u548c\u6837\u54c1\u7684\u6240\u6709\u6743\u5747\u5c5e\u4e8e\u7ef4\u4e16\u79d1\uff0c\u5ba2\u6237\u5e94\u5bf9\u6240\u6709\u7684\u56fe\u7eb8\u548c\u6837\u54c1\u8fdb\u884c\u4fdd\u5bc6\uff0c\u5e76\u4e0d\u5f97\u4fb5\u72af\u7ef4\u4e16\u79d1\u7684\u8d27\u7269\u3001\u6837\u54c1\u3001\u56fe\u7eb8\u3001\u8bf4\u660e\u7b49\u6240\u6709\u7269\u54c1\u53ca\u6750\u6599\u6240\u542b\u6709\u7684\u77e5\u8bc6\u4ea7\u6743\u3002\u5ba2\u6237\u5982\u77e5\u6089\u6216\u53d1\u73b0\u4efb\u4f55\u9488\u5bf9\u7ef4\u4e16\u79d1\u7684\u77e5\u8bc6\u4ea7\u6743\u7684\u4fb5\u6743\u884c\u4e3a\u6216\u53ef\u80fd\u4ea7\u751f\u7684\u4fb5\u6743\u884c\u4e3a\uff0c\u5e94\u5f53\u7acb\u5373\u901a\u77e5\u7ef4\u4e16\u79d1\u3002<\/p>\n
1.4 In case the customer within the valid period confirms the sales offer of ViscoTec, signs and stamps thereon and send such sales offer back to ViscoTec, the sales offer and its attachments shall be deemed as expressly agreed and accepted by the customer and the sales and purchase agreement between both parties (\u201cSales Contract\u201d) shall be deemed as concluded and taking effect. All attachments of the Sales Contract including these General Terms and Conditions of Sale and Delivery (\u201cGeneral Terms and Conditions\u201d) shall be an integral part of the Sales Contract. Unless otherwise required under the sales offer or other attachment, the General Terms and Conditions shall prevail.<\/p>\n
\u5ba2\u6237\u5982\u5728\u6709\u6548\u671f\u5185\u786e\u8ba4\u7ef4\u4e16\u79d1\u9500\u552e\u8981\u7ea6\uff0c\u5e76\u5728\u5176\u4e0a\u7b7e\u5b57\u76d6\u7ae0\u5e76\u56de\u4f20\u81f3\u7ef4\u4e16\u79d1\uff0c\u5373\u8868\u660e\u5176\u660e\u786e\u4e14\u540c\u610f\u63a5\u53d7\u9500\u552e\u8981\u7ea6\u53ca\u5176\u9644\u4ef6\u5185\u5bb9\uff0c\u53cc\u65b9\u4e4b\u95f4\u7684\u9500\u552e\u53ca\u8d2d\u4e70\u534f\u8bae\uff08\u201c\u4e70\u5356\u5408\u540c\u201d\uff09\u6210\u7acb\u5e76\u751f\u6548\u3002\u4e70\u5356\u5408\u540c\u7684\u6240\u6709\u9644\u4ef6\u5305\u62ec\u672c\u4e00\u822c\u9500\u552e\u548c\u4ea4\u4ed8\u6761\u6b3e\u548c\u6761\u4ef6\uff08\u201c\u4e00\u822c\u6761\u6b3e\u548c\u6761\u4ef6\u201d\uff09\u4e3a\u4e70\u5356\u5408\u540c\u4e0d\u53ef\u5206\u5272\u7684\u7ec4\u6210\u90e8\u5206\u3002\u9664\u975e\u9500\u552e\u8981\u7ea6\u6216\u5176\u5b83\u9644\u4ef6\u53e6\u6709\u8981\u6c42\uff0c\u5426\u5219\u4ee5\u4e00\u822c\u6761\u6b3e\u548c\u6761\u4ef6\u7684\u89c4\u5b9a\u4e3a\u51c6\u3002<\/p>\n
<\/p>\n
2.1 Except for prepayment, all other modes of payment shall be separately agreed upon in the Sales Contract in writing.<\/p>\n
\u9664\u9884\u4ed8\u6b3e\u4e4b\u5916\u7684\u4ed8\u6b3e\u65b9\u5f0f\u90fd\u9700\u8981\u53e6\u884c\u5728\u4e70\u5356\u5408\u540c\u5185\u4e66\u9762\u7ea6\u5b9a\u3002<\/p>\n
2.2 Mode of payment is Telegraphic Transfer (TT). \u4ed8\u6b3e\u65b9\u5f0f\u662f\u7535\u6c47\uff08T\/T\uff09\u3002<\/p>\n
2.3 Any bank charges incurred by the payments of the customer have to be borne by the customer. \u7531\u5ba2\u6237\u6c47\u6b3e\u4ea7\u751f\u7684\u94f6\u884c\u624b\u7eed\u8d39\u7531\u5ba2\u6237\u627f\u62c5\u3002<\/p>\n
2.4 Until full payment for goods is received by ViscoTec, the delivered goods remain full property of ViscoTec. (Also in case, that the delivered goods are already built- in or integrated in any project under construction or other equipment and machines, the ownership of such goods shall still vest in ViscoTec.)<\/p>\n
\u5728\u7ef4\u4e16\u79d1\u6536\u5230\u5168\u90e8\u8d27\u6b3e\u4e4b\u524d\uff0c\u8d27\u7269\u7684\u6240\u6709\u6743\u4ecd\u7136\u5c5e\u4e8e\u7ef4\u4e16\u79d1\u3002\uff08\u5373\u4f7f\u8be5\u4ea7\u54c1\u5df2\u7ecf\u88ab\u7528\u4e8e\u5728\u5efa\u5de5\u7a0b\u6216\u8005\u5176\u4ed6\u673a\u5668\u8bbe\u5907\u4e4b\u4e2d\uff0c\u8d27\u7269\u7684\u6240\u6709\u6743\u4ecd\u7136\u5c5e\u4e8e\u7ef4\u4e16\u79d1\uff09<\/p>\n
<\/p>\n
3.1 Customers will be notified on the shipment date via the order confirmation of ViscoTec. Shipment date notified by ViscoTec shall be only an estimated shipment date. The final shipment date will be confirmed upon readiness of shipment.<\/p>\n
\u5ba2\u6237\u5c06\u901a\u8fc7\u7ef4\u4e16\u79d1\u7684\u8ba2\u5355\u786e\u8ba4\u51fd\u88ab\u901a\u77e5\u542f\u8fd0\u7684\u65e5\u671f\u3002\u7ef4\u4e16\u79d1\u6240\u901a\u77e5\u7684\u542f\u8fd0\u65e5\u671f\u53ea\u662f\u4e00\u4e2a\u4f30\u8ba1\u7684\u65e5\u671f\u3002\u6700\u7ec8\u7684\u65e5\u671f\u5c06\u5728\u51c6\u5907\u88c5\u8fd0\u65f6\u786e\u8ba4\u3002<\/p>\n
3.2 Customer shall provide the information of the logistic company designed by it to ViscoTec immediately upon conclusion of the Sales Contract.<\/p>\n
\u5ba2\u6237\u5e94\u8be5\u5728\u4e70\u5356\u5408\u540c\u8ba2\u7acb\u540e\u7acb\u5373\u628a\u81ea\u5df1\u6307\u5b9a\u7684\u7684\u7269\u6d41\u516c\u53f8\u7684\u4fe1\u606f\u63d0\u4f9b\u7ed9\u7ef4\u4e16\u79d1\u3002<\/p>\n
3.3 Should the delivery be delayed due to force majeure or any unforeseen circumstance, ViscoTec will inform the customer at the earliest time possible.<\/p>\n
\u7531\u4e8e\u4e0d\u53ef\u6297\u529b\u4ee5\u53ca\u4e0d\u80fd\u9884\u89c1\u7684\u539f\u56e0\u5bfc\u81f4\u7684\u53d1\u8d27\u5ef6\u8fdf\uff0c\u7ef4\u4e16\u79d1\u5c06\u7b2c\u4e00\u65f6\u95f4\u901a\u77e5\u5ba2\u6237\u3002<\/p>\n
3.4 If shipment is delayed at the request of the customer, or if any item of goods is not picked up by the logistic company designated by the customer within 10 days upon the delivery date stipulated in the order, the customer shall bear any related costs incurred therefrom, including but not limited to storage costs.<\/p>\n
\u5982\u679c\u5ba2\u6237\u8981\u6c42\u5ef6\u8fdf\u53d1\u8d27\uff0c\u6216\u8005\u5982\u679c\u5ba2\u6237\u6307\u5b9a\u7684\u7269\u6d41\u516c\u53f8\u6ca1\u6709\u5728\u8ba2\u5355\u89c4\u5b9a\u7684\u53d1\u8d27\u65f6\u95f4\u768410\u5929\u5185\u63d0\u8d27\uff0c\u5ba2\u6237\u5c06\u627f\u62c5\u7531\u6b64\u4ea7\u751f\u7684\u76f8\u5173\u8d39\u7528\uff0c\u5305\u62ec\u4f46\u4e0d\u9650\u4e8e\u4ed3\u50a8\u8d39\u3002<\/p>\n
3.5 The goods shall be deemed as delivered once ViscoTec has delivered the goods to the customer or its designated logistic company as agreed upon under the Sales Contract. Upon delivery, the risk of damage or loss of the goods will be borne by the customer.<\/p>\n
\u7ef4\u4e16\u79d1\u6309\u4e70\u5356\u5408\u540c\u7ea6\u5b9a\u5c06\u8d27\u7269\u4ea4\u4ed8\u81f3\u5ba2\u6237\u6216\u5176\u6307\u5b9a\u7684\u7269\u6d41\u516c\u53f8\u540e\uff0c\u5b8c\u6210\u8d27\u7269\u4ea4\u4ed8\u3002\u4ea4\u4ed8\u540e\u8d27\u7269\u6bc1\u635f\u6216\u706d\u5931\u7684\u98ce\u9669\u7531\u5ba2\u6237\u627f\u62c5\u3002<\/p>\n
<\/p>\n
4.1 Warranty period for non-wearing parts is 12 months upon delivery, unless any mandatory law requires a longer warranty period.<\/p>\n
Wearing parts are excluded from the warranty. The wearing parts include but are not limited to the following parts:<\/p>\n
\u975e\u6613\u635f\u90e8\u4ef6\u4fdd\u4fee\u671f\u4e3a\u4ea4\u4ed8\u540e12\u4e2a\u6708\uff0c\u9664\u975e\u5f3a\u5236\u6027\u6cd5\u5f8b\u89c4\u5b9a\u66f4\u957f\u7684\u4fdd\u4fee\u671f\u3002\u6613\u635f\u4ef6\u4e0d\u5728\u4fdd\u4fee\u4e4b\u5217\uff0c\u4ee5\u4e0b\u90e8\u4ef6\u5c5e\u4e8e\u6613\u635f\u4ef6\uff0c\u4f46\u6613\u635f\u4ef6\u4e0d\u9650\u4e8e\u4ee5\u4e0b\u90e8\u4ef6\uff1a<\/p>\n
\u00a0Stator \u5b9a\u5b50<\/span><\/p>\n 4.2 the customer shall carefully inspect whether the delivered items have any external defect or quantity deficiency (\u201cApparent Defect\u201d) immediately after delivery of the goods and not later than five (5) working days after the delivery (\u201cInspection Period\u201d). Should any Apparent Defect be found, the customer shall notify ViscoTec within the above period in writing. Should the customer fail to inspect Apparent Defect or raise objection with respect to quality within the Inspection Period, the delivered goods shall be deemed as without any Apparent Defect and complying with contractual agreements to such extent.<\/p>\n \u8d27\u7269\u4ea4\u4ed8\u540e\uff0c\u5ba2\u6237\u5e94\u7acb\u5373\u4e14\u6700\u665a\u4e8e\u4ea4\u4ed8\u540e\u4e94\uff085\uff09\u4e2a\u5de5\u4f5c\u65e5\uff08\u201c\u68c0\u9a8c\u671f\u201d\uff09\u4ed4\u7ec6\u68c0\u67e5\u8d27\u7269\u662f\u5426\u6709\u4efb\u4f55\u5916\u90e8\u7455\u75b5\u53ca\u6570\u91cf\u7f3a\u635f\uff08\u201c\u8868\u9762\u7455\u75b5\u201d\uff09\u3002\u5982\u679c\u53d1\u73b0\u8868\u9762\u7455\u75b5\uff0c\u5ba2\u6237\u5e94\u5728\u524d\u8ff0\u671f\u9650\u5185\u4e66\u9762\u901a\u77e5\u7ef4\u4e16\u79d1\u3002\u68c0\u9a8c\u671f\u5185\u5ba2\u6237\u6020\u4e8e\u5c31\u8868\u9762\u7455\u75b5\u8fdb\u884c\u68c0\u9a8c\u6216\u63d0\u51fa\u8d28\u91cf\u5f02\u8bae\u7684\uff0c \u89c6\u4e3a\u8d27\u7269\u4e0d\u5177\u6709\u8868\u9762\u7455\u75b5\uff0c\u5728\u8be5\u8303\u56f4\u5185\u7b26\u5408\u5408\u540c\u7ea6\u5b9a\u3002<\/p>\n 4.3 Products of ViscoTec are designed and manufactured according to CE-standards. \u7ef4\u4e16\u79d1\u7684\u4ea7\u54c1\u5728\u751f\u4ea7\u548c\u8bbe\u8ba1\u4e0a\u662f\u4f9d\u7167CE \u6807\u51c6\u6267\u884c\u7684\u3002<\/p>\n 4.4 ViscoTec does not warrant and is not responsible for any technical processes of its products, but is responsible for the proper functions of the products of ViscoTec only.<\/p>\n \u7ef4\u4e16\u79d1\u4e0d\u5bf9\u5176\u4ea7\u54c1\u7684\u4efb\u4f55\u5de5\u827a\u6d41\u7a0b\u505a\u51fa\u4fdd\u8bc1\u548c\u8d1f\u8d23\uff0c\u53ea\u5bf9\u5176\u4ea7\u54c1\u7684\u6b63\u5e38\u529f\u80fd\u8d1f\u8d23\u3002<\/p>\n 4.5 Any damage resulted from any improper operation, replacement of, modification or adjustment to any part or system of ViscoTec\u2019s products shall be excluded from the scope of the warranty. Any failure or damage resulted from any operation deviating from the \u201cProduct Operation Manual and Requirements\u201d attached hereto as Attachment (delivered with the whole equipment together) or from any discrepancy between the customer\u2019s requirements and technical parameters agreed upon under the Sales Contract shall be excluded from the scope of warranty. All damages resulted from misuse, e.g. external damage or dry-run of the pump, shall be also excluded from the scope of warranty; misoperation shall include but not be limited to the following circumstances:<\/p>\n \u7531\u4e8e\u64cd\u4f5c\u4e0d\u5f53\uff0c\u66f4\u6362\uff0c\u4fee\u6539\u6216\u8005\u8c03\u6574\u7ef4\u4e16\u79d1\u4ea7\u54c1\u7684\u90e8\u4ef6\u6216\u7cfb\u7edf\u5f15\u8d77\u7684\u635f\u574f\uff0c\u4e0d\u5728\u4fdd\u4fee\u8303\u56f4\u4e4b\u5185\uff1b\u7531\u4e8e\u4e0d\u6309\u7167\u9644\u4ef6\u201c\u4ea7\u54c1\u64cd\u4f5c\u624b\u518c\u548c\u8981\u6c42\u201d\u540c\u6574\u4f53\u8bbe\u5907\u4e00\u8d77\u4ea4\u4ed8\uff09\u64cd\u4f5c\uff0c\u6216\u8005\u7531\u4e8e\u5ba2\u6237\u7684\u8981\u6c42\u4e0e\u4e70\u5356\u5408\u540c\u9879\u4e0b\u7ea6\u5b9a\u7684\u6280\u672f\u53c2\u6570\u4e0d\u4e00\u81f4\u6240\u5f15\u8d77\u7684\u6545\u969c\u6216\u8005\u635f\u574f\uff0c\u4ea6\u4e0d\u5728\u4fdd\u4fee\u8303\u56f4\u5185\u3002\u6240\u6709\u6ee5\u7528, \u5982\u6cf5\u7684\u5916\u90e8\u635f\u5bb3\uff0c\u6216\u8005\u7a7a\u8f6c\uff0c\u5f15\u8d77\u7684\u635f\u574f\uff0c\u4e5f\u6392\u9664\u5728\u4fdd\u4fee\u8303\u56f4\u4e4b\u5916\uff1b\u8bef\u64cd\u4f5c\u5305\u62ec\u4ee5\u4e0b\u884c\u4e3a\uff0c\u4f46\u4e0d\u9650\u4e8e\u4ee5\u4e0b\u884c\u4e3a\uff1a<\/p>\n 4.6 ViscoTec has the right to do a thorough analysis on the damaged part or request the customer to provide inspection report issued by a third inspection institution recognized by ViscoTec, before the warranty clause is implemented. The decision on whether the warranty will be granted will be made on the basis of the results of the said analysis or inspection report.<\/p>\n \u5728\u5b9e\u65bd\u4fdd\u4fee\u6761\u6b3e\u524d\uff0c\u7ef4\u4e16\u79d1\u6709\u6743\u5bf9\u635f\u574f\u7684\u90e8\u4ef6\u505a\u5f7b\u5e95\u7684\u5206\u6790\u6216\u8005\u8981\u6c42\u5ba2\u6237\u63d0\u4f9b\u7ef4\u4e16\u79d1\u8ba4\u53ef\u7684\u7b2c\u4e09\u65b9\u68c0\u9a8c\u673a\u6784\u51fa\u5177\u7684\u68c0\u9a8c\u62a5\u544a\u3002\u6839\u636e\u5206\u6790\u6216\u68c0\u9a8c\u62a5\u544a\u7684\u7ed3\u679c\uff0c\u51b3\u5b9a\u662f\u5426\u4fdd\u4fee\u3002<\/p>\n \u00a04.7 ViscoTec shall be entitled to decide whether to repair the defective item or provide a replacement free of charge within a reasonable period of time. Before a replacement is provided to the customer, the customer shall first return the defective item to ViscoTec as the property of ViscoTec.<\/p>\n \u7ef4\u4e16\u79d1\u6709\u6743\u51b3\u5b9a\u662f\u5426\u4fee\u590d\u6709\u7f3a\u9677\u7684\u4ea7\u54c1\u6216\u5728\u5408\u7406\u7684\u65f6\u95f4\u5185\u63d0\u4f9b\u514d\u8d39\u7684\u66f4\u6362\u3002\u5728\u63d0\u4f9b\u7ed9\u5ba2\u6237\u66f4\u6362\u54c1\u524d, \u5ba2\u6237\u5e94\u5f53\u9996\u5148\u628a\u6709\u7f3a\u9677\u7684\u4ea7\u54c1\u4f5c\u4e3a\u7ef4\u4e16\u79d1\u7684\u8d22\u4ea7\u8fd4\u8fd8\u7ed9\u7ef4\u4e16\u79d1\u3002<\/p>\n <\/p>\n \u00a05.1 In the event that either party to contract breaches the Sales Contract, it shall be obliged to immediately pay the other party a contractual penalty amounting to 5% of the contract amount without prejudice to a higher amount of compensation evidenced and claimed by the non-breaching party nor to its rights of seeking specific performance or compulsory remedies for such breach of contract.<\/p>\n \u5982\u679c\u5408\u540c\u7684\u4efb\u4f55\u4e00\u65b9\u8fdd\u53cd\u4e70\u5356\u5408\u540c\uff0c\u5219\u5fc5\u987b\u7acb\u5373\u5411\u53e6\u4e00\u65b9\u652f\u4ed85\uff05\u5408\u540c\u91d1\u989d\u7684\u8fdd\u7ea6\u91d1\u3002\u8be5\u8fdd\u7ea6\u91d1\u4e0d\u5f71\u54cd\u975e\u8fdd\u7ea6\u65b9\u8bc1\u660e\u53ca\u4e3b\u5f20\u83b7\u5f97\u66f4\u9ad8\u8d54\u507f\uff0c\u6216\u5c31\u8be5\u7b49\u8fdd\u7ea6\u5bfb\u6c42\u7279\u5b9a\u5c65\u884c\u6216\u5f3a\u5236\u6027\u6551\u6d4e\u7684\u6743\u5229\u3002<\/p>\n 5.2 For each day of delay in payment by the customer, in addition to the contractual penalty as stipulated in the above provision to be paid to ViscoTec, the customer shall further pay ViscoTec a default interest to be calculated at 0.05% of the outstanding amount. If the delay of any payment instalment to be made by the customer has exceeded one month, ViscoTec shall be entitled to claim for return of the goods purchased by the customer and compensation for economic loss.<\/p>\n \u5ba2\u6237\u6bcf\u5ef6\u8fdf\u4ed8\u6b3e\u4e00\u5929\uff0c\u9664\u5e94\u5411\u7ef4\u4e16\u79d1\u652f\u4ed8\u672c\u6761\u524d\u6b3e\u89c4\u5b9a\u7684\u8fdd\u7ea6\u91d1\u5916\uff0c\u8fd8\u5fc5\u987b\u5411\u7ef4\u4e16\u79d1\u652f\u4ed8\u6309\u5e94\u4ed8\u6b3e\u9879\u6bcf\u65e5\u4e07\u5206\u4e4b\u4e94\u8ba1\u7b97\u7684\u6ede\u7eb3\u91d1\u3002\u5982\u679c\u5bf9\u4efb\u4f55\u4e00\u671f\u8d27\u6b3e\u5ba2\u6237\u5ef6\u8fdf\u4ed8\u6b3e\u8d85\u8fc7\u4e00\u4e2a\u6708\uff0c\u7ef4\u4e16\u79d1\u6709\u6743\u7d22\u56de\u5ba2\u6237\u6240\u8d2d\u8d27\u7269\uff0c\u540c\u65f6\u6709\u6743\u5c31\u7ecf\u6d4e\u635f\u5931\u63d0\u51fa\u8d54\u507f\u3002<\/p>\n <\/p>\n \u00a0In case of any breach of contract by ViscoTec, which causes damage to the customer, the compensation for damage shall be limited to the reasonable direct loss that is foreseeable by ViscoTec. Unless otherwise provided for by law, ViscoTec shall not assume liability for any indirect losses of the customer resulted from the breach of contract by ViscoTec (including but not limited to profit loss, increase of production cost, loss of production, whether such losses are based on liability for breach of contract, liability for tort or other reasons). The maximum amount of liability above shall not exceed 10% of the Sales Contract amount. Liability of ViscoTec for personal injury of the customer due to breach of contract by ViscoTec and liability of ViscoTec for loss of property of the customer out of intention or gross negligence of ViscoTec shall not be subject to the liability limitation hereunder.<\/p>\n \u5982\u56e0\u7ef4\u4e16\u79d1\u8fdd\u7ea6\u800c\u5bfc\u81f4\u5ba2\u6237\u906d\u53d7\u635f\u5931\uff0c\u4ea7\u751f\u7684\u8d54\u507f\u5c06\u88ab\u9650\u5b9a\u5728\u7ef4\u4e16\u79d1\u53ef\u4ee5\u9884\u89c1\u7684\u3001\u5408\u4e4e\u60c5\u7406\u7684\u76f4\u63a5\u635f\u5931\u8303\u56f4\u5185\u3002\u9664\u975e\u6cd5\u5f8b\u53e6\u6709\u89c4\u5b9a\uff0c\u7ef4\u4e16\u79d1\u4e0d\u5bf9\u56e0\u5176\u8fdd\u7ea6\u800c\u4ea7\u751f\u7684\u5ba2\u6237\u4efb\u4f55\u95f4\u63a5\u635f\u5931\uff08\u5305\u62ec\u4f46\u4e0d\u9650\u4e8e\u5229\u6da6\u635f\u5931\u3001\u751f\u4ea7\u6210\u672c\u4e0a\u5347\u3001\u751f\u4ea7\u635f\u5931\uff0c\u4e14\u65e0\u8bba\u8be5\u7b49\u635f\u5931\u662f\u57fa\u4e8e\u8fdd\u7ea6\u8d23\u4efb\u3001\u4fb5\u6743\u8d23\u4efb\u6216\u5176\u5b83\u7406\u7531\uff09\u627f\u62c5\u8d23\u4efb\u3002\u4ee5\u4e0a\u8d23\u4efb\u9650\u5b9a\u6700\u9ad8\u989d\u4e0d\u8d85\u8fc7\u4e70\u5356\u5408\u540c\u91d1\u989d\u768410%\u3002\u7ef4\u4e16\u79d1\u56e0\u8fdd\u7ea6\u800c\u9020\u6210\u7684\u5ba2\u6237\u4eba\u8eab\u4f24\u5bb3\u548c\u56e0\u6545\u610f\u6216\u91cd\u5927\u8fc7\u5931\u9020\u6210\u7684\u5ba2\u6237\u8d22\u4ea7\u635f\u5931\u4e0d\u53d7\u9650\u4e8e\u672c\u6761\u4e0b\u7684\u8d23\u4efb\u9650\u5236\u3002<\/p>\n <\/p>\n 7.1 In case of any force majeure event, the party suffering from such event may suspend the performance of its obligations under the Sales Contract within the duration of delay caused by the force majeure and the performance period may automatically be extended according to the period of suspension, and such party is not required to pay penalty or assume any liability for breach of contract for any damage suffered by the other party due to such suspension.<\/p>\n \u5982\u679c\u53d1\u751f\u4e0d\u53ef\u6297\u529b\u4e8b\u4ef6\uff0c\u5219\u53d7\u8be5\u4e8b\u4ef6\u5f71\u54cd\u7684\u4e00\u65b9\u5728\u4e70\u5356\u5408\u540c\u9879\u4e0b\u7684\u5408\u540c\u4e49\u52a1\u5728\u4e0d\u53ef\u6297\u529b\u9020\u6210\u7684\u5ef6\u8bef\u671f\u95f4\u4e2d\u6b62\u5c65\u884c\uff0c\u6309\u8be5\u4e2d\u6b62\u671f\u81ea\u52a8\u987a\u5ef6\uff0c\u4e14\u5bf9\u4e8e\u53e6\u4e00\u65b9\u56e0\u8be5\u4e2d\u6b62\u906d\u53d7\u7684\u4efb\u4f55\u635f\u5bb3\uff0c\u65e0\u9700\u652f\u4ed8\u8fdd\u7ea6\u91d1\u6216\u627f\u62c5\u4efb\u4f55\u8d23\u4efb\u3002<\/p>\n 7.2 The party claiming force majeure shall immediately notify the other party and provide evidence on the occurrence and duration of the force majeure within a reasonable time period thereafter. The party claiming force majeure shall further use its best endeavors to cease the force majeure event and mitigate the impact of the force majeure.<\/p>\n \u5ba3\u79f0\u53d1\u751f\u4e0d\u53ef\u6297\u529b\u7684\u4e00\u65b9\u5e94\u7acb\u5373\u4e66\u9762\u901a\u77e5\u53e6\u4e00\u65b9\uff0c\u5e76\u5e94\u5728\u4e4b\u540e\u7684\u5408\u7406\u671f\u9650\u5185\u63d0\u4f9b\u53d1\u751f\u4e0d\u53ef\u6297\u529b\u53ca\u5176\u6301\u7eed\u65f6\u95f4\u7684\u8bc1\u660e\u3002\u5ba3\u79f0\u53d1\u751f\u4e0d\u53ef\u6297\u529b\u7684\u4e00\u65b9\u8fd8\u5e94\u5c3d\u6240\u6709\u5408\u7406\u52aa\u529b\u7ec8\u6b62\u4e0d\u53ef\u6297\u529b\u5e76\u51cf\u8f7b\u4e0d\u53ef\u6297\u529b\u7684\u540e\u679c\u3002<\/p>\n 7.3 In the event of force majeure, both parties shall immediately conduct consultations with each other to find a fair solution, and shall use their best reasonable efforts to minimize the impact of the force majeure event.<\/p>\n \u82e5\u53d1\u751f\u4e0d\u53ef\u6297\u529b\uff0c\u53cc\u65b9\u5e94\u7acb\u5373\u4e92\u76f8\u534f\u5546\u4ee5\u5bfb\u6c42\u516c\u6b63\u7684\u89e3\u51b3\u65b9\u6848\uff0c\u5e76\u5e94\u5c3d\u4e00\u5207\u5408\u7406\u52aa\u529b\u5c06\u4e0d\u53ef\u6297\u529b\u4e8b\u4ef6\u7684\u540e\u679c\u964d\u81f3\u6700\u4f4e\u3002<\/p>\n \u00a07.4\u201cForce Majeure\u201d shall mean all events, which occur after the Sales Contract takes effect and which are unforeseeable, unavoidable or unsurmountable by either party to the contract. Such events shall include but be not limited to earthquake, typhoon, flood, fire, other natural disasters, war, riot, hostility, public disturbance, art of public enemy, prohibition or act of any government authority or public institution, strike or other work stoppage, illness, infectious diseases (including SARS, bird flu, N7H9) or any other events that are unforeseeable, unpreventable or uncontrollable, including those that are recognized as force majeure in general international business practices.<\/p>\n \u201c\u4e0d\u53ef\u6297\u529b\u201d\u6307\u4e70\u5356\u5408\u540c\u751f\u6548\u540e\u53d1\u751f\u7684\u3001\u5408\u540c\u4e00\u65b9\u65e0\u6cd5\u9884\u89c1\u3001\u65e0\u6cd5\u907f\u514d\u4e14\u65e0\u6cd5\u514b\u670d\u7684\u5e76\u963b\u788d\u4e00\u65b9\u5168\u90e8\u6216\u90e8\u5206\u5c65\u7ea6\u7684\u6240\u6709\u4e8b\u4ef6\u3002\u8fd9\u7c7b\u4e8b\u4ef6\u5e94\u5f53\u5305\u62ec\u4f46\u4e0d\u9650\u4e8e\u5730\u9707\u3001\u53f0\u98ce\u3001\u6c34\u707e\u3001\u706b\u707e\u3001\u5176\u5b83\u81ea\u7136\u707e\u5bb3\u3001\u6218\u4e89\u3001\u66b4\u52a8\u3001\u654c\u5bf9\u52bf\u529b\u3001\u516c\u4f17\u9a9a\u4e71\u3001\u516c\u654c\u884c\u4e3a\u3001\u4efb\u4f55\u653f\u5e9c\u673a\u5173\u6216\u516c\u5171\u673a\u6784\u7684\u7981\u6b62\u6216\u884c\u4e3a\u3001\u7f62\u5de5\u6216\u8005\u5176\u5b83\u505c\u5de5\u3001\u75be\u75c5\u3001\u4f20\u67d3\u75c5\uff08\u5305\u62ecSARS\u3001\u79bd\u6d41\u611f\u3001N7H9\uff09\u6216\u4efb\u4f55\u5176\u5b83\u65e0\u6cd5\u9884\u89c1\u3001\u65e0\u6cd5\u963b\u6b62\u6216\u65e0\u6cd5\u63a7\u5236\u7684\u4e8b\u4ef6\uff0c\u5305\u62ec\u5728\u4e00\u822c\u56fd\u9645\u5546\u4e1a\u60ef\u4f8b\u4e2d\u88ab\u8ba4\u53ef\u4e3a\u4e0d\u53ef\u6297\u529b\u7684\u4e8b\u4ef6\u3002<\/p>\n <\/p>\n 8.1 The customer may not cancel any confirmed order, in whole or part. However, ViscoTec may negotiate and reach agreement with the customer on a case-by-case basis after receiving a written notice from the customer about the cancellation of order.<\/p>\n \u5ba2\u6237\u4e0d\u80fd\u5168\u90e8\u6216\u90e8\u5206\u7684\u53d6\u6d88\u5df2\u7ecf\u786e\u8ba4\u7684\u8ba2\u5355,\u3002\u7136\u800c, \u7ef4\u4e16\u79d1\u53ef\u4ee5\u5728\u6536\u5230\u5ba2\u6237\u7684\u4e66\u9762\u53d6\u6d88\u8ba2\u5355\u7684\u901a\u77e5\u4ee5\u540e\uff0c\u5c31\u5177\u4f53\u7684\u6848\u4ef6\u548c\u5ba2\u6237\u534f\u5546\u4e00\u81f4\u3002<\/p>\n 8.2 In case any order is cancelled in whole or part upon request of the customer, ViscoTec will deliver the entirely completed or partially completed items to the customer and charge the customer for the reasonable expenses incurred by ViscoTec for fulfillment of such order and the related materials, labor costs and compensation for loss. The time limit for claiming charges and compensation shall be within ninety (90) days upon confirmation of the notice on order cancellation.<\/p>\n \u5982\u679c\u5e94\u5ba2\u6237\u7684\u8981\u6c42\uff0c\u53d6\u6d88\u90e8\u5206\u6216\u5168\u90e8\u8ba2\u5355\uff0c\u7ef4\u4e16\u79d1\u5c06\u5df2\u7ecf\u5b8c\u6210\u6216\u90e8\u5206\u5b8c\u6210\u7684\u9879\u76ee\u4ea4\u4ed8\u7ed9\u5ba2\u6237\u65f6\uff0c\u53ef\u4ee5\u5411\u5ba2\u6237\u6536\u53d6\u4e3a\u4e86\u5b8c\u6210\u8be5\u8ba2\u5355\u800c\u53d1\u751f\u7684\u5408\u7406\u8d39\u7528\uff0c\u53ca\u76f8\u5173\u7684\u6750\u6599\uff0c\u4eba\u5de5\u6210\u672c\u53ca\u635f\u5931\u7d22\u8d54\u3002\u7d22\u8d54\u671f\u9650\u4e3a\u53d6\u6d88\u8ba2\u5355\u7684\u901a\u77e5\u88ab\u786e\u8ba4\u540e\u768490\u5929\u5185\u3002<\/p>\n 8.3 The Sales Contract may be terminated upon mutual agreement of the parties. Without prejudice to any other remedy provided for under this contract, in case of any following circumstance, one party (\u201cNon-breaching Party\u201d) may immediately terminate this contract by notifying the other party (\u201cBreaching Party\u201d) in writing without assuming any liability:<\/p>\n \u53cc\u65b9\u534f\u5546\u4e00\u81f4\u53ef\u4ee5\u89e3\u9664\u4e70\u5356\u5408\u540c\u3002\u6709\u4e00\u4e0b\u60c5\u5f62\u7684\uff0c\u5728\u4e0d\u635f\u5bb3\u672c\u5408\u540c\u4e2d\u63d0\u4f9b\u7684\u4efb\u4f55\u5176\u5b83\u6551\u6d4e\u7684\u60c5\u51b5\u4e0b\uff0c\u4e00\u65b9\uff08\u201c\u975e\u8fdd\u7ea6\u65b9\u201d\uff09\u53ef\u4ee5\u5728\u4e66\u9762\u901a\u77e5\u53e6\u4e00\u65b9\uff08\u201c\u8fdd\u7ea6\u65b9\u201d\uff09\u540e\u5373\u65f6\u89e3\u9664\u672c\u5408\u540c\u800c\u65e0\u9700\u5c31\u6b64\u627f\u62c5\u4efb\u4f55\u8d23\u4efb\uff1a<\/p>\n (i) In case a party breaches this contract and fails to rectify such breach of contract within thirty (30) days after issuance of written notice by the Non-breaching Party on the concerned breach of contract, then the Non- breaching Party may terminate the Sales Contract;<\/p>\n \u5982\u679c\u4e00\u65b9\u8fdd\u7ea6\u4e14\u8be5\u8fdd\u7ea6\u884c\u4e3a\u5728\u975e\u8fdd\u7ea6\u65b9\u53d1\u51fa\u6709\u5173\u8fdd\u7ea6\u7684\u4e66\u9762\u901a\u77e5\u540e\u7684\u4e09\u5341\uff0830\uff09\u5929\u5185\u672a\u5f97\u5230\u5f25\u8865\uff0c\u975e\u8fdd\u7ea6\u65b9\u53ef\u4ee5\u89e3\u9664\u4e70\u5356\u5408\u540c\uff1b<\/p>\n (ii) In case a party goes bankrupt or becomes a subject of liquidation or dissolution procedure, or ceases or is unable to conduct business according to this contract or is unable to pay due debts, then the Non-breaching Party may immediately terminate this contract.<\/p>\n \u5982\u679c\u4e00\u65b9\u7834\u4ea7\uff0c\u6216\u8005\u6210\u4e3a\u6e05\u7b97\u6216\u89e3\u6563\u7a0b\u5e8f\u7684\u4e3b\u4f53\uff0c\u6216\u8005\u505c\u6b62\u6216\u4e0d\u80fd\u591f\u6309\u7167\u672c\u5408\u540c\u5f00\u5c55\u4e1a\u52a1\u6216\u8005\u4e0d\u80fd\u591f\u507f\u8fd8\u5230\u671f\u503a\u52a1\uff0c\u5219\u975e\u8fdd\u7ea6\u65b9\u53ef\u4ee5\u7acb\u5373\u89e3\u9664\u672c\u5408\u540c\uff1b<\/p>\n \u00a0(iii) Other circumstances provided for by laws. \u6cd5\u5f8b\u89c4\u5b9a\u7684\u5176\u5b83\u60c5\u5f62\u3002<\/p>\n \u00a08.4 Termination or cancellation of the Sales Contract or any order thereunder for any reason may not relieve the concerned party of any obligation that is unfulfilled according to the relevant agreements, nor relieve the concerned party of the obligation to pay any accumulated overdue amounts according to the relevant agreements.<\/p>\n \u56e0\u4efb\u4f55\u539f\u56e0\u5bfc\u81f4\u4e70\u5356\u5408\u540c\u6216\u5176\u9879\u4e0b\u7684\u4efb\u4f55\u8ba2\u5355\u7684\u7ec8\u6b62\u6216\u89e3\u9664\uff0c\u4e0d\u5f97\u514d\u9664\u76f8\u5173\u4e00\u65b9\u6309\u76f8\u5173\u7ea6\u5b9a\u5c1a\u672a\u5c65\u884c\u5b8c\u6bd5\u7684\u4e49\u52a1\uff0c\u4ea6\u4e0d\u5f97\u514d\u9664\u76f8\u5173\u4e00\u65b9\u6309\u76f8\u5173\u7ea6\u5b9a\u5e94\u652f\u4ed8\u4efb\u4f55\u7d2f\u8ba1\u7684\u903e\u671f\u6b3e\u9879\u7684\u4e49\u52a1\u3002<\/p>\n 8.5 The right of termination under the Sales Contract shall be in addition to rather than a replacement of any right or claim or remedy entitled by the Non-breaching Party. Any termination will neither relieve the Breaching Party of any liability accrued by the date of termination nor relieve the Breaching Party of any liability for breach of contract towards the Non-breaching Party.<\/p>\n \u4e70\u5356\u5408\u540c\u9879\u4e0b\u7684\u7ec8\u6b62\u6743\u5229\u5e94\u5f53\u662f\u975e\u8fdd\u7ea6\u65b9\u53ef\u4ee5\u83b7\u5f97\u7684\u4efb\u4f55\u6743\u5229\u4e3b\u5f20\u6216\u8005\u8865\u6551\u4ee5\u5916\u7684\u9644\u52a0\u6743\u5229\uff0c\u800c\u4e14\u4e0d\u662f\u4e0a\u8ff0\u4efb\u4f55\u6743\u5229\u4e3b\u5f20\u6216\u8005\u8865\u6551\u7684\u66ff\u4ee3\uff0c\u4efb\u4f55\u89e3\u9664\u5c06\u65e2\u4e0d\u514d\u9664\u8fdd\u7ea6\u65b9\u81ea\u89e3\u9664\u65e5\u671f\u4e3a\u6b62\u6240\u7d2f\u79ef\u7684\u8d23\u4efb\uff0c\u4e5f\u4e0d\u514d\u9664\u8fdd\u7ea6\u65b9\u56e0\u5176\u8fdd\u7ea6\u800c\u5e94\u5bf9\u975e\u8fdd\u7ea6\u65b9\u627f\u62c5\u7684\u8d23\u4efb\u3002<\/p>\n 8.6 After termination of the Sales Contract, provisions on contractual penalty, termination of contract, dispute resolution and miscellaneous shall remain valid.<\/p>\n \u4e70\u5356\u5408\u540c\u89e3\u9664\u540e\uff0c\u6709\u5173\u8fdd\u7ea6\u91d1\u3001\u5408\u540c\u7684\u53d6\u6d88\u3001\u4e89\u8bae\u89e3\u51b3\u53ca\u5176\u5b83\u6761\u6b3e\u7684\u89c4\u5b9a\u5c06\u7ee7\u7eed\u6709\u6548\u3002<\/p>\n <\/p>\n 9.1 The Sales Contract shall be governed by laws of the People\u2019s Republic of China \u4e70\u5356\u5408\u540c\u9002\u7528\u4e2d\u534e\u4eba\u6c11\u5171\u548c\u56fd\u6cd5\u5f8b\u3002<\/p>\n 9.2 In case of any disputes arising out of or in connection with the conclusion, performance, termination or interpretation of the Sales Contract, both parties shall settle such disputes through friendly consultations. If the disputes cannot be settled, either party may submit the dispute to Shanghai International Arbitration Commission (SHIAC) for arbitration. The place of arbitration shall be in Shanghai. The language of arbitration procedure shall be Chinese. The arbitration award of SHIAC shall be final and binding on both parties to the Sales Contract. The arbitration fee shall be borne by the losing party or as ruled in the arbitration award.<\/p>\n \u51e1\u6709\u5173\u4e70\u5356\u5408\u540c\u7684\u8ba2\u7acb\u3001\u5c65\u884c\u3001\u89e3\u9664\u6216\u89e3\u91ca\u800c\u53d1\u751f\u7684\u4e00\u5207\u4e89\u6267\uff0c\u53cc\u65b9\u5e94\u901a\u8fc7\u53cb\u597d\u534f\u5546\u89e3\u51b3\u3002\u5982\u4e0d\u80fd\u89e3\u51b3\uff0c\u5219\u4efb\u4f55\u4e00\u65b9\u53ef\u5c06\u4e89\u8bae\u63d0\u4ea4\u4e0a\u6d77\u56fd\u9645\u4ef2\u88c1\u59d4\u5458\u4f1a\uff08SHIAC\uff09\u8fdb\u884c\u4ef2\u88c1\u3002\u4ef2\u88c1\u5730\u70b9\u4e3a\u4e0a\u6d77\uff0c\u4ef2\u88c1\u8bed\u8a00\u4e3a\u4e2d\u6587\u3002\u8be5\u4ef2\u88c1\u59d4\u5458\u4f1a\u7684\u88c1\u51b3\u662f\u6700\u7ec8\u7684\uff0c\u4e70\u5356\u53cc\u65b9\u5747\u5e94\u53d7\u5176\u7ea6\u675f\u3002\u4ef2\u88c1\u8d39\u7528\u5e94\u7531\u8d25\u8bc9\u65b9\u627f\u62c5\u6216\u6309\u7167\u88c1\u51b3\u4e66\u88c1\u5b9a\u627f\u62c5\u3002<\/p>\n <\/p>\n 10.1 In case any provision of the Sales Contract is duly declared as illegal, unenforceable or violating law or public policy, the validity of the remaining provisions thereunder shall not be affected. If any right or obligation of one party is materially affected by such declaration, both parties shall meet and consult with each other in good faith so as to agree upon the amendment of such affected contractual provision in a way closest and exactly reflecting the intention and purpose of this contract.<\/p>\n \u5982\u679c\u4e70\u5356\u5408\u540c\u7684\u4efb\u4f55\u89c4\u5b9a\u88ab\u6b63\u5f0f\u5730\u5ba3\u5e03\u4e3a\u975e\u6cd5\u3001\u4e0d\u53ef\u5f3a\u5236\u6267\u884c\u6216\u8fdd\u80cc\u6cd5\u5f8b\u6216\u516c\u5171\u653f\u7b56\uff0c\u5408\u540c\u7684\u5176\u4f59\u89c4\u5b9a\u7684\u6548\u529b\u5e94\u4e0d\u53d7\u5f71\u54cd\u3002\u5982\u679c\u56e0\u4e3a\u8be5\u7b49\u5ba3\u5e03\uff0c\u4e00\u65b9\u7684\u4efb\u4f55\u6743\u5229\u6216\u4e49\u52a1\u5b9e\u8d28\u6027\u5730\u53d7\u5230\u5f71\u54cd\uff0c\u5219\u53cc\u65b9\u5e94\u79c9\u627f\u8bda\u4fe1\u7684\u539f\u5219\u8fdb\u884c\u4f1a\u6664\u53ca\u78cb\u5546\u4ee5\u8fbe\u6210\u5bf9\u53d7\u5230\u8be5\u7b49\u5f71\u54cd\u7684\u5408\u540c\u6761\u6b3e\u4ee5\u6700\u8d34\u5207\u53ca\u51c6\u786e\u53cd\u6620\u672c\u5408\u540c\u610f\u56fe\u548c\u76ee\u7684\u7684\u65b9\u5f0f\u8fdb\u884c\u4fee\u6539\u3002<\/p>\n \u00a010.2 Neither party may transfer its rights or obligations under the Sales Contract to a third party without prior express written consent of the other party.<\/p>\n \u4efb\u4f55\u4e00\u65b9\u5728\u672a\u5f97\u5230\u5bf9\u65b9\u4e8b\u5148\u660e\u786e\u7684\u4e66\u9762\u540c\u610f\u524d\uff0c\u4e0d\u5f97\u5c06\u81ea\u5df1\u5728\u4e70\u5356\u5408\u540c\u9879\u4e0b\u7684\u6743\u5229\u548c\u4e49\u52a1\u8f6c\u8ba9\u7ed9\u7b2c\u4e09\u65b9\u3002<\/p>\n \u00a010.3 The Sales Contract and its attachments shall constitute entire agreements between both parties with respect to the subject matter of the Sales Contract and supersede all prior discussions, negotiations and agreements between both parties. Amendments or other modifications to the Sales Contract shall be made in writing, signed and stamped by authorized representatives of both parties respectively. This applies also to this provision and its waiver.
